These Terms of Service ("Terms") govern access to and use of LinkedBeat, a product of Smargasy, Inc. ("Smargasy," "we," "us," or "our"). By creating an account, starting a trial, purchasing a plan, or otherwise using LinkedBeat, you agree to these Terms.
LinkedBeat provides AI-assisted LinkedIn content planning, generation, scheduling, publishing, analytics, and related agency features. Features available to you depend on your subscription tier, add-ons, trial status, and LinkedIn connection permissions.
You must be able to form a binding contract and must provide accurate account information. You are responsible for safeguarding credentials and for activity under your account, including actions by team members you invite. Notify us promptly of unauthorized access.
LinkedBeat integrates with LinkedIn and other third-party services. Your use of those platforms remains subject to their terms and policies. You must only connect accounts you are authorized to manage, and you are solely responsible for content published to those accounts. We are not affiliated with LinkedIn Corporation except as an API/platform integrator where applicable.
You retain ownership of content you submit to LinkedBeat ("Customer Content"). You grant Smargasy a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to operate and improve the Service, including AI generation and LinkedIn publishing you initiate.
You represent that you have all rights needed to submit Customer Content and to publish resulting posts, and that Customer Content does not violate law, LinkedIn rules, or third-party rights.
AI features produce suggestions that may be inaccurate, incomplete, or unsuitable. You must review and approve content before publishing. Smargasy does not guarantee specific engagement, ranking, lead volume, or business results.
You agree not to:
We may suspend or terminate access for violations or risk to the Service or other users.
Paid plans, add-ons, and complimentary audits are billed as described at purchase or in the product. Unless stated otherwise, trials convert to a paid subscription if not cancelled before the trial ends. Fees are generally non-refundable except where required by law or expressly stated. You can manage subscription changes in Billing settings when available, or contact us for help.
Taxes may apply based on your location. Failed payments may result in suspension of paid features.
If you use team, client approval, or multi-account features, you are responsible for invitations you send, client communications, and ensuring recipients have consented to receive links and content reviews.
LinkedBeat, including software, branding, and documentation, is owned by Smargasy or its licensors. These Terms do not transfer ownership of our intellectual property to you.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARGASY DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARGASY AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO SMARGASY FOR LINKBEAT IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
You will defend and indemnify Smargasy against claims arising from your Customer Content, your LinkedIn activity, your misuse of the Service, or your breach of these Terms.
You may stop using LinkedBeat at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service. Provisions that by nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive termination.
We may update these Terms by posting a revised version on this page and updating the effective date. Material changes may also be communicated by email or in-product notice. Continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of the State of Florida, excluding conflict-of-law rules. Courts located in Lee County, Florida (or the federal courts with jurisdiction there) will have exclusive jurisdiction, except where prohibited by applicable consumer law.
